Summary

Patheon was founded in 1974 in Fort Erie, Canada. In 1992 Patheon became a Public Company listed on the Toronto Stock Exchange. Patheon operates a network of eleven cGMP facilities in Canada and Europe, employing 3,600 people. Patheon serves a client base consisting of pharmaceutical and biotechnology companies, including 16 of the world's 20 largest pharmaceutical companies. Patheon has a subsidiary, Patheon UK.

R&D

Patheon is a provider of contract drug manufacturing and development services to pharmaceutical and biotechnology companies.Patheon has a full range of services from pre-formulation, analytical and formulation development, through to clinical trial supplies, scale-up and commercial manufacturing, Patheon can take compounds from bench to market. They provide turn-key manufacturing services for finished dosage forms, including parenteral, solid, liquid and semi-solid formats.

Patheon offers a fully integrated and seamless approach to pharmaceutical product development. The company's services are geared towards finding the most rapid and cost-effective route to move a drug candidate from development to commercialization. The company's fully scalable and flexible services are coupled with strong scientific expertise.

Partnerships

Patheon has a scientific alliance with MDS Pharma Services, a contract research organization (CRO), enabling Patheon to co-ordinate certain pre-clinical or clinical activities, such as bioavailability studies involving animal and/or human testing to optimize dosage formulations.

Patheon has access to clinical trial design, packaging and distribution services through their partnership with Fisher Clinical Services.

Patheon has an agreement with Aventis Pharmaceuticals to provide long-term manufacturing and supply services to Aventis and to purchase Aventis' pharmaceutical manufacturing and development site located in Cincinnati, Ohio, USA.

Patheon has completed its agreement with Novartis Pharmaceuticals Canada to provide long term manufacturing and supply services to Novartis and to purchase Novartis' pharmaceutical manufacturing facility located in Whitby, Canada, as announced on March 19, 2001. Under the agreement, Patheon has agreed to employ substantially all the workforce of approximately 400 people at the plant, and will continue to manufacture and supply almost all of the products currently produced at the plant.

Senior management

Riccardo Trecroce (Chief Executive Officer and Director)
Mr. Trecroce was appointed Chief Executive Officer of Patheon on an interim basis by the Board of Directors in September 2006. Mr. Trecroce has been with Patheon during a six-year period of rapid growth, and has played a key role in the development and execution of Patheon's business strategy. His background includes more than 25 years of corporate and commercial legal experience, focusing on acquisitions and divestitures, partnerships and joint ventures, shareholder relations, corporate governance and law firm management. Prior to joining Patheon in 2000, Mr. Trecroce was a partner for 12 years in the Toronto office of Fraser Milner Casgrain LLP, one of Canada's leading business law firms. Mr. Trecroce holds a Bachelor of Arts degree in International Relations from Concordia University and Bachelor of Laws and Bachelor of Civil Law degrees from McGill University. He was called to the Bar in the province of Alberta, Canada in 1982 and in the province of Ontario, Canada in 1985.

Nick A. DiPietro, M.B.A. (President, Chief Operating Officer and Director)
Mr. DiPietro is President and Chief Operating Officer of Patheon Inc. He joined a predecessor corporation of Patheon as Operations Manager in 1982, becoming President of the Niagara Region and Burlington operating divisions in 1989. He was appointed to his current position in 1996. Mr. DiPietro holds an Honours B.Sc. in Biochemistry and an MBA from McMaster University. He has been a Director of Patheon since 1993.

John Bell (Chief Financial Officer)
Mr. Bell joined Patheon in September 2006, bringing considerable executive-level experience to his role at Patheon. During the past twenty years, he has held chief financial and operating officer positions with both public and private companies in several industries, including automotive parts, real estate and telecommunications. Mr. Bell is a Chartered Accountant and holds a Bachelor of Commerce degree from the University of Manitoba.

Clive V. Bennett (President, Patheon USA)
Prior to his appointment to Patheon's Management Advisory Board in January 2000, Mr. Bennett's 30-year career in the pharmaceutical industry included 23 years with Hoechst Marion Roussel (now sanofi-aventis), where he served as Senior Vice-President of Operations and Head of Global Drug Product Supply from 1995 until 1999. In that role, he was responsible for the company's dosage manufacturing network of 77 sites and 12,500 employees. Mr. Bennett served as a consultant to Patheon's European subsidiaries from July to December 2001. He was appointed Executive Vice-President, Operations in January 2002, President, Patheon North America in January 2004, and to his current position in July 2005. He holds a Bachelor of Science (Hons.) in Chemistry from Bath University (UK).

Aldo Braca (President, Patheon Europe)
Mr. Braca's career includes 29 years with the European operations of Bristol-Myers Squibb, where he held positions of increasing responsibility. Prior to joining Patheon in 1999, Mr. Braca was President - Worldwide Manufacturing, Technical Operations, Worldwide Medicines Group, Bristol-Myers Squibb, with responsibility for 32 manufacturing plants and approximately 10,000 employees. Mr. Braca joined Patheon in 1999 and was appointed Executive Vice-President, European Business Development and President, Patheon Italia S.p.A. in July 2001. He was appointed to his current position in January 2004. Mr. Braca has an educational background in industrial chemistry and also is a graduate of Harvard Business School's Advanced Management Program.

Shabbir T. Anik, Ph.D., M.B.A. (President, Global Pharmaceutical Development Services and Chief Scientific Officer)
Dr. Anik began his career at Syntex where, over a 17-year period, he held positions of increasing responsibility in product development, manufacturing and program management. In 1995, he joined biotechnology company Neurex as head of Pharmaceutical Development and Operations, and in 1997 became Vice-President of Product Development with a California-based contract pharmaceutical development company. He joined Patheon in 1999 and is responsible for building Patheon's PDS business globally. Dr. Anik received his Ph.D. in Pharmaceutical Sciences from the University of Wisconsin and his MBA from Santa Clara University. He has authored more than 50 technical publications and presentations and holds four patents.

Michael S. Harding (Executive Vice-President, Global Quality Operations)
Mr. Harding brings more than 25 years of pharmaceutical manufacturing experience to his position. He joined Patheon in 1979, serving in a number of positions in client service and operations before becoming Production Manager at the company's Niagara Region Operations facility in 1982. Mr. Harding subsequently held increasingly senior roles in quality affairs and in 1988 was appointed Director of Quality Assurance and Technical Affairs. He was appointed Senior Vice-President, Global Quality Operations in 1998 and to his current position in January 2004. Mr. Harding holds a Bachelor of Science (Hons.) in Biology from the University of Western Ontario.

Kevin D. Duffy, M.B.A. (Executive Vice President Global Sales, Marketing and Business Development)
Mr. Duffy joined Patheon in 2006 as Executive Vice President of Global Sales, Marketing & Business Development with over 24 years of combined experience in the medical device, biopharmaceutical drug development and manufacturing industries. Prior to Patheon, he served for over seven years in a number of senior sales and marketing positions at Omnicare Clinical Research, most recently as Chief Relations Officer and EVP, Global Business Development. His career also includes senior business development positions at the former ClinTrials Research and Imagyn Surgical Technologies as well as 13 years in sales, product management and marketing at Johnson & Johnson. He holds a Masters of Business Administration degree from Pepperdine University in Malibu, California and a Bachelor of Arts degree in Economics from the University of Michigan in Ann Arbor, Michigan.

Tom L. Ferguson (Senior Vice-President, Global Information Technology)
Mr. Ferguson is an accomplished IT professional who has been responsible for implementing a consistent systems strategy across Patheon's global network of facilities. After graduating from the University of Waterloo with an Honours Bachelor of Mathematics (Computer Science major) in 1989, Mr. Ferguson began his career with The Mutual Group, (now Sun Life Financial). He joined Patheon in 1993, was appointed Vice-President, Information Technology in 2000 and to his current position in January 2004. He earned a Diploma in Accounting from Wilfrid Laurier University in 1993, and received his Certified Management Accountant designation in 1997.

Steven M. Liberty, M.B.A. (Senior Vice-President, Operations, Canada)
Mr. Liberty's 20-year career includes multinational experience in manufacturing, customer service, distribution and business development with two global pharmaceutical companies. Prior to joining Patheon in October 2005, he served in a number of senior roles with AstraZeneca Pharmaceuticals, including Executive Director & General Manager of its Westborough Supply Site in Massachusetts, U.S.A.; Director of Manufacturing, Australia from 2000 to 2003; and Director of Manufacturing, Canada from 1997 to 2000. Prior to AstraZeneca, Mr. Liberty worked at Eli Lilly and Company for five years in increasingly senior manufacturing, quality, customer service and business development positions. He began his career with the Canadian Armed Forces, progressing to the rank of Captain before leaving to pursue his MBA. Mr. Liberty holds a Bachelor of Engineering Science from the University of Western Ontario and an MBA from the Richard Ivey School of Business, University of Western Ontario.

Jonathan Arnold (Vice-President, Global Supply Chain)
Mr. Arnold joined Patheon in 2000 as Business Manager, Monza Operations, bringing more than a decade of international sales and business development experience to his role. He was appointed Director, Business Management, Patheon Europe in 2002, and to his current position in February 2006. Prior to joining Patheon, Mr. Arnold worked for five years at R P Scherer Ltd., a division of Cardinal Health Inc., where his roles included developing the company's export business and managing its key U.K. accounts. Mr. Arnold holds a Bachelor of Science (Hons) degree in Agricultural Biochemistry and Food Nutrition from the University of Newcastle upon Tyne.

Norman Barras (Vice-President, Pharmaceutical Development Services, Europe)
Mr. Barras joined Patheon in 2005 as Group Director, PDS Swindon, bringing more than 24 years of experience to his role, and was appointed to his current position in April 2006. Prior to Patheon, he served for 13 years in a number of senior roles at U.K. specialty company Norgine International Ltd., including Medical Director, Scientific Director, and Vice-President of R&D. His career also includes positions with the Upjohn Company, Controlled Therapeutics and PA Consulting Group. He holds a Bachelor of Science (Hons.) in Chemistry from Paisley University and a Master of Science in Biochemical Pharmacology from the University of Hertfordshire.

Nicholas M. Dowd, C.A. (Vice-President and Controller)
Mr. Dowd's career includes 20 years of multinational finance experience acquired in North America and Europe. He joined Patheon in 2001 as head of corporate development and was appointed to his current position in January 2006. Prior to joining Patheon, Mr. Dowd served as Corporate Controller of Jannock Limited, a publicly traded building products company. From 1992 to 1998, he was with Lawson Mardon Packaging, a division of Swiss-based Alusuisse Lonza, where he served in a number of financial planning and financial reporting roles. Prior to Lawson Mardon Packaging, Mr. Dowd worked with Deloitte & Touche in England and Toronto for seven years. Mr. Dowd holds a Bachelor of Arts (Honours) in Economics from the University of Nottingham, England. He became an Associate of the Institute of Chartered Accountants in England and Wales in 1989, and received his CA designation from the Canadian Institute of Chartered Accountants in 1994.

Ian Jones (Vice-President, Finance, Europe)
Mr. Jones is a Chartered Accountant with extensive experience in the manufacturing sector, particularly within the pharmaceutical, aerospace and automotive industries. He joined Patheon in 2000 as Finance Director for the U.K. operations, was appointed European Finance Director in 2002 and to his current position in January 2006. Prior to joining Patheon, Mr. Jones served as Financial Controller within the Unipart Group. From 1990 until 1998, he held a number of progressively senior finance roles, including Financial Controller, with subsidiaries of TI Group plc, a global supplier of fluid storage, transfer and delivery systems. He began his career as Corporate Auditor with Mobil Oil Corporation, covering the Middle East, Africa and Europe. Mr. Jones qualified as an Associate of the Institute of Chartered Accountants in England & Wales in 1987.

Andrew Kelley (Vice-President, UK and France Operations)
Mr. Kelley joined Patheon in January 2006, bringing to his role more than 20 years of experience in pharmaceutical manufacturing operations. Mr. Kelley joined Patheon from Cardinal Health, where he spent 15 years in progressively senior production and operational roles, most recently serving as Vice President, Operations for Europe and Site Leader for Swindon. In this position, he was responsible for operations at Cardinal's site in Swindon, which employs 700 people, and as well as 10 other facilities in the U.K., Germany, France, Italy and Belgium. Prior to Cardinal, he held manufacturing management roles at Boehringer Ingelheim and at Roussel Laboratories. He began his career as a Process and Technical Services Engineer at Esso Chemicals Ltd. Mr. Kelley holds a Bachelor of Science degree in Chemical Engineering from the University of Birmingham and a Master of Business Administration from Henley Management College in Oxfordshire, U.K.

Antonella Mancuso (Vice-President, Italian Operations)
Ms. Mancuso joined Patheon in 2001 as Production Manager of Patheon's facility in Monza, Italy, becoming Site Director in June 2002. She became Director, Italian Operations in January 2005, with responsibility for integrating and managing both the Monza and Ferentino sites. Prior to joining Patheon, Ms. Mancuso held progressively senior roles in production and manufacturing during her six years at Bristol-Myers Squibb (BMS) in Italy. Prior to BMS, Antonella served as Qualified Technical Director with Select Pharma. She began her career in 1991 at Bioprogress in Rome, where her responsibilities included quality control and registration of pharmaceutical products. Antonella holds a Degree in Pharmaceutical Chemistry and Technology from La Sapienza University of Rome.

Colin M. Minchom, Ph.D. (Vice-President, Pharmaceutical Development Services, Canada)
Dr. Minchom joined Patheon in 2000 as Director, Formulation Development. He was appointed Group Director of PDS at Toronto Region Operations in 2001, and to his current position in 2004. Prior to joining Patheon, Dr. Minchom was Head of Pharmaceutical Sciences at Cerebrus Ltd., a UK-based research and biotechnology company, where he was responsible for pharmaceutical development and clinical supply using contract resources. Previously, he held positions of increasing responsibility in formulation development and pharmaceutical project management for Eli Lilly and Company, where he gained experience in the development of formulations for high-profile products. Prior to Eli Lilly, he was employed as a formulation scientist at E.R. Squibb Ltd. and May & Baker Ltd. Dr. Minchom received his Ph.D. in pharmaceutical sciences from the Welsh School of Pharmacy, U.K. He has been a visiting senior lecturer at the pharmacy school of Kings College, London and has presented lectures to students in the pharmacy schools of Leicester, Aberdeen, Aston and Toronto, sharing his 20 years of academic and industry experience.

Ronald R. Schallick (Vice-President, Cincinnati Operations)
Mr. Schallick's 33-year career in the pharmaceutical industry includes 31 years in progressively senior plant and material management positions with Aventis Pharmaceuticals and predecessor companies. He was appointed Site Director Cincinnati, Aventis Pharmaceuticals in 1995. He joined Patheon as Site Director, Cincinnati Operations in January 2003 and was appointed Vice-President in January 2004. Mr. Schallick holds a Bachelor of Science in Mechanical Engineering and an MBA from the University of Cincinnati and is a registered professional engineer.

Murray Snedden, C.M.A. (Vice-President and Treasurer)
Mr. Snedden joined Patheon in 2003, bringing more than a decade of finance, audit and treasury experience in several different industries to his role. Prior to joining Patheon, Mr. Snedden was with Oxford Properties Group Inc. for seven years, where he served as Treasurer from 1997 until 2003. Previously, he held progressively senior audit and finance positions during six years with Canadian Pacific Limited and a CP subsidiary, Marathon Realty Company Ltd. He began his career in accounting and audit roles with Canada Packers Inc. Mr. Snedden holds a Finance Diploma from St. Lawrence College and is a Certified Management Accountant.

Roy J. Wieschkowski (Vice-President, Corporate Human Resources)
Mr. Wieschkowski joined Patheon as Director, Corporate Human Resources in 1999. He was appointed Senior Director, Corporate Human Resources in 2004 and to his current position in 2005. Mr. Wieschkowski's background includes extensive human resources experience in the manufacturing and retail sectors, having served in a variety of HR management positions with Paperboard Industries and various subsidiaries of Cascade Inc. from 1989 until 1999, and with subsidiaries of ICI Paints from 1986 until 1989. Mr. Wieschkowski holds a Bachelor of Business Administration (Hons.) from Wilfrid Laurier University and is a Certified Human Resources Professional.

Peter A.W. Green (Director)
Mr. Green is currently Chair of the Board of Patheon Inc. He is also Lead Director of Superior Plus Inc. and a Director of Gore Mutual Insurance Company. Mr. Green has been Chair of the Board of Patheon Inc. since 1996. He is a Chartered Accountant.

Ramsey A. Frank (Director)
Mr. Frank is a Managing Director of JLL Partners, which he joined in 1999. Prior to joining JLL, Mr. Frank served as Managing Director of Donaldson, Lufkin & Jenrette Securities Corporation and as a Managing Director of Smith Barney & Co. Mr. Frank joined Patheon's Board of Directors in April 2007.

Paul S. Levy (Director)
Mr. Levy is a Managing Director of JLL Partners, which he founded in 1988. Prior to that, he served as a Managing Director of Drexel Burnham Lambert and as a Chief Executive Officer of Yves Saint Laurent, Inc. He has also worked as Vice President of Administration & General Counsel of Quality Care, Inc. and as an attorney at Stroock & Stroock & Lavan LLP. Mr. Levy joined Patheon's Board of Directors in April 2007.

Thomas S. Taylor (Director)
Mr. Taylor joined JLL in 2005 after serving as President and CEO of EPIX Holdings, a human resource outsourcer. Prior to that, he served as Vice President and Chief Financial Officer of Colorado Prime Corporation. He has also worked at Kraft Foods as Vice President of Finance and Strategy and at Central Soya as Vice President and Controller. Mr. Taylor joined Patheon's Board of Directors in April 2007.

JoaquĆ­n B. Viso (Director)
Mr. Viso joined the Board of Patheon on December 23, 2004. Mr. Viso founded MOVA Pharmaceutical Corporation in 1986 and is currently MOVA's non-executive Chairman. Prior to founding MOVA, he was with SmithKline (now GlaxoSmithKline), where he held various senior management positions, including President and General Manager of SmithKline's operations in Puerto Rico. Mr. Viso holds a Bachelor of Science in Mechanical Engineering from the University of Puerto Rico and a Master of Science in Engineering from the University of Michigan. He is also Chairman of Orbix Healthcare Corporation, and a Director of Universidad Central del Caribe and of Scotiabank of Puerto Rico.

Derek J. Watchorn (Director)
Mr. Watchorn is President and Chief Executive Officer of Retirement Residences Real Estate Investment Trust in Toronto, Canada. He served in London, England as Executive Vice-President, Strategic Initiatives, of Canary Wharf Group plc from January 2003 until June 2004 and as Executive Director of TrizecHahn Europe from 1999 until 2001. Before and after his senior management roles in Europe, Mr. Watchorn was a senior partner of the law firm Davies Ward Phillips & Vineberg LLP, which he joined in 1968. Mr. Watchorn holds an LL.B. from the University of Toronto and has been a Director of Patheon since 1998.

Gregory C. Wilkins (Director)
Mr. Wilkins is Chief Executive Officer and President and a Director of Barrick Gold Corporation. Mr. Wilkins was a financial consultant from June 2001 until February 2003. He served as President and Chief Operating Officer of TrizecHahn Corporation Ltd. between 1996 and June 2001. Mr. Wilkins holds a B.Com. from Concordia University and is a Chartered Accountant. He joined Patheon's Board in March 2003.
