Summary

Sinclair Pharmaceuticals Limited was founded in 1971 by Andrew Sinclair to focus on the sale and marketing of generic and branded pharmaceutical products in the UK. The company operated in this way until August 2000 when Sinclair Pharmaceuticals Limited was acquired by a management team led by Dr. Michael Flynn and Jerry Randall. From August 2000, Sinclair acquired companies and products, and conducted some development work to produce new products or line extensions. The company expanded its portfolio and in September 2003, most of the original UK Sinclair products (including the aspirin brand Caprin) were divested in order to focus on the core new products. As the company has grown, and since flotation on AIM in December 2003, the corporate strategy has evolved further. Sinclair has spent recent years developing its direct on-market presence in the key EU territories, and now has sales and marketing operations in the UK, France, Italy, Spain and Portugal.

R&D

Although Sinclair Pharma does not engage in early stage research, the company is committed to exploring the full potential of each of their products and technologies. Their experienced development personnel and consultants examine how products can be improved, whether through new presentations, delivery systems, or combinations of technologies. Sinclair is currently developing products in the following therapeutic areas: dermatology, oral health and eye care.

Sinclair is committed to exploiting fully the products and technologies that they acquire. The company is currently considering or developing products in the areas of dermatology, oral health and eyecare which includes SPHD420 for the treatment of acne, SPHP700 for the treatment of dry eye syndrome, SPHR913 in Corrective Dermatology and Decapinol line extensions.

Sinclair has a range of products that are currently marketed by partner companies in 82 countries. Current products are focused in the therapeutic areas of dermatology and oral health which consist of Decapino, Aloclai, Salinum, SST, Gelclair, Atopiclair, Sebclair, Xclair and
Visclair.

Partnerships

On October 2, 2006: Sinclair Pharma plc ("Sinclair") the international specialty pharmaceutical company, has concluded a marketing agreement for its atopic dermatitis (eczema) product, AtopiclairTM, with Intendis GmbH, for eight major territories in the EU and worldwide.

Sinclair Pharmaceuticals has marketing and distribution agreements with Celgene, Cell Pathways and Durbin.

On 22 August 2005, Sinclair Pharma announced that John O. Butler Mexico (S DE RL DE CV) ("Butler Mexico"), part of the international Sunstar Group ("Sunstar"), has signed a marketing and distribution agreement for Mexico for all three Aloclair® products, Sinclair's treatments for mouth ulcers (oral rinse solution, an oral gel and an oral spray). This new agreement expands Sunstar's distribution of Aloclair® products through its various North American subsidiaries, which now include Mexico, the US (Aloclair® Rinse only) and Canada.

On 26 July, 2005, Sinclair Pharma announced the signing of three new sales and marketing agreements. In the US, Sinclair has licensed Sebclair(TM), a treatment for seborrheic dermatitis ("SD"), to Chester Valley Pharmaceuticals ("CVP"), and in Greece Sinclair has licensed two products to Anabiosis; Xclair(TM), its product for the treatment of radiation dermatitis, and Salinum(TM) , a saliva replacement product for the treatment of dry mouth syndrome.

On 7 July, 2005, Sinclair Pharma announced two new sales and marketing agreements for Xclair(TM), its product for the treatment of radiation dermatitis. Radiation dermatitis is a common side effect of radiotherapy for the treatment of cancer. Under the terms of the Xclair(TM) agreements, the product has been exclusively licensed to Pharmis Group for sale in Portugal and in Brazil. Pharmis Group focuses on the marketing and sales of pharmaceutical products exclusively to the hospital market place. Pharmis plans to market Xclair(TM) through its focused, specialty oncology sales representatives through the major treatment centres in Portugal and Brazil. The marketing strategy will aim to increase awareness of the benefits of Xclair(TM) in treating the debilitating effects on the skin of radiation dermatitis. These 10 year agreements include license fees and minimum sales commitments.

On 29 June, 2005, Sinclair Pharma announced a new licensing agreement for Decapinol®, the company's oral rinse for the treatment and prevention of gingivitis, which is currently approved in the EU and which recently received US FDA approval. Sinclair also announces the signing of a further three licensing agreements in North America (US and Canada) and three in Colombia.

Michael John Flynn, M.B.B.S., M.R.C.S., L.R.C.P., F.F.P.,. R.C.P. (Chief Executive Officer and Director)
Dr. Flynn became CEO of Sinclair Pharma in August 2000 following a management buy-in of Sinclair Pharmaceuticals, which he led. Between 1998 and 2000, Dr. Flynn privately acquired the rights to a portfolio of products which he brought to the Group. From June to November 1998, Dr. Flynn was acting CEO of Cortecs where he held the position of President between 1992 and June 1998 and of Director between 1986 and 1992. Between 1976 and 1986, he was Medical Director and President of Technology International, a contract research organisation that Dr. Flynn co-founded. Prior to 1976, Dr. Flynn worked as a Senior Medical Advisor to Crookes Laboratories, established Duphar in the UK and spent approximately 5 years in the clinical research department of Philips Duphar in Holland. Dr. Flynn has spent over 30 years in the pharmaceutical industry and has served on the BOD of approximately 30 private companies involved in the healthcare sector. Dr. Flynn was elected a fellow by Distinction of the Faculty of Pharmaceutical Medicine of the Royal Colleges of Physicians in 2001 and qualified as a Physician from Kings College Hospital, London.

Jeremy Anthony Philip Randall, A.C.A. (Chief Financial Officer and Director)
Mr. Randall became CFO of the Company in August 2000 when he completed the management buy-in with Dr. Flynn. Before joining Sinclair Pharma, Mr. Randall worked in corporate finance setting up and running the Bristol office of Gambit Corporate Finance. Prior to that Mr. Randall had been involved in two other buy-ins and acted as Adviser to both private and quoted companies between 1993 and 2000, in both the capacity as nominated Adviser and in practice with KPMG. During this period, Mr. Randall was involved in a number of flotations and transactions on the Official List, Unlisted Securities Market and the Alternative Investment Market, as well as raising private equity. Mr. Randall qualified as a Chartered Accountant with KPMG in 1990.

Marco Mastrodonato (Executive Vice President)
Mr. Mastrodonato has been heading up the Business and Products Development Division of Sinclair Pharma since the acquisition of Propharma by the Company in May 2001. Mr. Mastrodonato founded Propharma in 1999 where he invented Gelclair, Aloclair and of a range of hypoallergenic toiletries for paediatrics. Between 1996 and 1998 Mr. Mastrodonato worked as a Consultant for Carrington Laboratories, a US research-based bio-pharmaceutical company, licensing and exporting products from the US to Europe. Prior to 1996, Mr. Mastrodonato founded Protema, an Italian agro-chemical company, between 1989 and 1996 he worked for an International clinical research organisation, AAI Pharma and between 1987 and 1989 he worked for OEMF Informatore Farmaceutico.

Paul Phull (Managing Director, Europe & Executive Vice-President)
Mr Phull is responsible for all Sinclair's international commercial activities, including Sinclair's own operating companies in Europe and the business development function, responsible for Sinclair's global marketing partners. Mr Phull joined Sinclair as Director of Business Development in 2001, and in 2004 was appointed to the position of Executive Vice-President, Business Development with responsibility for Sinclair's global sales and business development via its marketing partners. Prior to joining Sinclair he held senior sales, marketing and business development positions at Bristol-Myers Squibb and Yamanouchi and has been involved in a number of biotech and healthcare start-up companies. Mr Phull is an experienced executive in international pharmaceutical commercialisation, having worked in the healthcare industry for over 20 years.

Mike Killeen (Vice President of Sales and Marketing)
Mr. Killeen joined Sinclair Pharma following the acquisition of Propharma by the Company in May 2001. At Propharma, Mr. Killeen held the position of VP of Sales and Marketing for the US and Pacific Rim. Prior to joining Propharma, Mr. Killeen was Director of Sales and Marketing at Carrington Laboratories, prior to which he was Director of Business Development at Horizon Medical.

Steve Redman (Legal Director)
Mr. Redman joined Sinclair Pharmaceuticals as its first in-house Legal Director in July 2007, from his previous role as Legal Director at Schering Health Care. He was called to the Bar in 1986 and brings to the Sinclair Group 20 years' experience as senior legal counsel in the financial services, insurance as well the pharmaceutical sectors. During this time he has supported the business growth of this employers by providing authoritative and practical advice on a wide variety of legal issues, including multi-national transactions, commercial contracts, licences, competition, corporate, EU law as well as pharmaceutical specific areas.

Alan Olby (Finance Director and Company Secretary)
Mr Olby joined Sinclair Pharmaceuticals in September 2005 having gained experience in the biotech sector working at Xenova Group plc and KS Biomedix plc. He qualified as a chartered accountant in 1996 and subsequently worked in corporate finance at Deloitte, supporting public companies and venture capital businesses with due diligence, working capital reviews and stock exchange transactions.

Leslie Galloway (Chief Executive Officer, Ashbourne Pharmaceuticals)
Mr. Galloway joined Ashbourne in late 2000 and was soon after appointed as CEO. Prior to that, he built a successful career in international sales and marketing roles in both the pharmaceutical and medical device industries. Since being appointed Leslie has successfully led Ashbourne through a re-structuring and strategic re-engineering programme that has positioned Ashbourne for a period of rapid growth. With over 30 years' experience in sales and marketing and a track record of creating significant business growth in all of his previous roles, he is well placed to lead an experienced team and to continue building on his success.

Steve Harris (Non-Executive Chairman)
Mr Harris joined the Board of Sinclair Pharma as a non-executive Director in October 2001 and was appointed non-executive Chairman on 18 November 2003. Mr Harris is currently the non-executive Chairman of Proteome Sciences plc and Convè plc. Mr Harris is also a non-executive Director of SkyePharma plc, Northwest Biotherapeutics plc, Advanced Medical Solutions plc and Premier Research plc. Mr Harris has over 40 years experience in the pharmaceutical industry and has held a variety of positions in both the prescription and consumer healthcare sectors with sales, marketing and general management experience with Merck Sharp and Dohme, Eli Lilly, Boots and Reckitt and Colman (now Reckitt Benckiser). Before setting up his own consultancy practice in 1995 to work as a non-executive Director in the life-science industry, Mr Harris was Development and Licensing Director for Medeva plc.

Andrew John Sinclair, Ph.C., M.R. Pharm.S. (Non-Executive Director)
Mr. Sinclair was non-executive Chairman for Sinclair Pharma Limited from 2000. In 1971 Mr. Sinclair founded Sinclair Pharmaceuticals. Before that he worked for ten years for Berk Pharmaceuticals as Sales Manager and then as a director. Between 1957 and 1961 Mr. Sinclair worked as a production manager and export executive for May and Baker Limited, a pharmaceutical manufacturer and distributor.

Grahame Cook (Non-Executive Director)
Mr. Cook has over 18 years in investment banking advising on a wide range of M&A and Capital Market transactions in the US and Europe. He was until recently, Global CEO of West LB Panmure, where he joined in 1999. Prior to that, from 1995, Mr. Cook was Managing Director of Capital Markets and on the Global Investment Banking Management Committee at UBS. Mr. Cook's earlier career includes six years as Director of Barclays de Zoete Wedd Corporate Finance, and seven years as a chartered accountant at Arthur Anderson. He has advised on a number of transactions in the pharmaceutical and biotechnology sectors across Europe and the US, including private equity investments, IPOs and secondary offerings. Mr. Cook was a founder member of the LSE's TechMARK Advisory Committee, and holds an M.A., double first, from Oxford University.
